Qualified Company Secretary
Stronghold Global Finance is seeking a Qualified Company Secretary to join the team based in our London office in Knightsbridge.
Key Responsibilities
- Guide the chairman and the board to ensure they are operating in accordance with rules and regulations
- Support the chairman in ensuring the board functions efficiently and effectively
- Facilitate good communication between the board, committees, sub-committees, senior management and non-executive directors, and shareholders
- Preparation of written resolutions, draft minutes and actionable items for board members and shareholders for review and approval
- Advise board chairs and board directors at and outside of scheduled board meetings on all relevant governance matters
- Take responsibility for the administration of the company by maintaining statutory books, including registers of members, directors, secretaries, and shareholders with all their past and
present shareholdings, organising board meetings and committees, prepare agendas and take minutes - Training directors and members of the senior leadership team on corporate governance matters
- Providing support to the board or other committees on specific projects
- Keeping up to date with any regulatory or statutory changes and policies that might affect the organisation
- File necessary documents with Companies House
- Inform Companies House of any significant changes to the company’s share capital, administration or registered address
- Monitor changes in relevant legislation and the regulatory environment and take appropriate action
- Liaise with external regulators and advisers where necessary;
- Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements
- Take responsibility for signing off documents on behalf of the Board;
- Maintain documentation required for KYC processes
- Filing of any essential legal documents
- Ensuring that policies are up to date and are approved
- Write reports & collect information
Required Skills and Qualifications
- Strong degree-level academic background
- At least five years’ experience in a similar corporate governance/company secretarial role; and
- CGI/ICSA qualified or Part CGI/ICSA qualified is desirable
- Extensive knowledge of company secretarial practice and its application
- Experience in interpreting and applying governance codes
- Extensive board level experience, having attended and managed Board and Committee meetings in a sophisticated business environment
- Relevant experience in financial services or related industry
- Strong written communication skills, including the ability to draft high-quality formal minutes (informed by good judgement and governance best practice) with excellent attention to detail and produced to tight deadlines
- Excellent communication skills, with a proven ability to build effective relationships and develop respect, trust and credibility at all levels, including with senior stakeholders
- Project management and organisational skills, with the ability to manage stakeholder expectations and take a proactive approach to forward planning
- Statutory compliance experience
- Ability to work in a fast-paced environment and within tight deadlines
- Awareness of the ever-changing regulatory environment of working in the financial services industry with an enthusiasm for rising to new challenges
- Good teamwork and communication skills, inter-personal, focused, flexible, proactive and able to take own initiatives, prioritise, handle time pressure and manage multiple projects at the same time with flexibility to adapt to shifting expectations
- PC skills: Word, Excel, PowerPoint and other system and spreadsheet packages; proficient and fast at learning and adapting to new technology and software
